Terms of Service

Please read these terms carefully before using LienLogix.

1. Acceptance of Terms

By accessing or using LienLogix ("Service"), provided by StaxxLogix ("Company," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service.

These Terms apply to all users of the Service, including administrators, managers, law firm users, and provider users.

2. Description of Service

LienLogix is a cloud-based medical lien management platform that provides:

  • AI-powered document processing and data extraction
  • Client and lien tracking and management
  • Role-based access control for team members, law firms, and providers
  • Secure document storage and file transfer capabilities
  • Reporting and analytics tools

3. Account Registration

To use the Service, you must:

  • Provide accurate, current, and complete registration information
  • Maintain the security of your password and account credentials
  • Promptly update your account information as needed
  • Accept responsibility for all activities under your account
  • Notify us immediately of any unauthorized use of your account

We reserve the right to suspend or terminate accounts that violate these Terms or contain inaccurate information.

4. Subscription and Payment

Access to the Service requires a paid subscription:

  • Pricing: Current pricing is $100 per user per month, or custom pricing for Enterprise plans.
  • Free Trial: Professional plan customers receive a 30-day free trial. Enterprise plan customers receive a 60-day free trial with onboarding and training included.
  • Billing: Subscriptions are billed monthly or annually, as selected.
  • Payment: Payment is due at the beginning of each billing period.
  • Refunds: Refunds are not provided for partial months or unused portions of subscription periods.

We reserve the right to modify pricing with 30 days' notice. Price changes will not affect current billing periods.

5. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You may not:

  • Use the Service to violate any applicable law or regulation
  • Upload false, misleading, or fraudulent information
  • Attempt to gain unauthorized access to any part of the Service
  • Interfere with or disrupt the Service or its infrastructure
  • Use automated systems or bots to access the Service without permission
  • Share account credentials or allow unauthorized access to your account
  • Reverse engineer, decompile, or disassemble any part of the Service

6. Data Ownership and Responsibility

You retain ownership of all data you upload to the Service ("Your Data"). By using the Service, you grant us a limited license to process Your Data solely to provide the Service.

You are responsible for:

  • Ensuring you have the right to upload and process all data
  • The accuracy and legality of Your Data
  • Obtaining necessary consents from individuals whose data you process
  • Complying with all applicable data protection laws

7. Intellectual Property

The Service, including its design, features, code, documentation, and trademarks, is owned by StaxxLogix and protected by intellectual property laws. You may not:

  • Copy, modify, or create derivative works of the Service
  • Use our trademarks without written permission
  • Remove any proprietary notices from the Service

We may use anonymized, aggregated data to improve our services and for analytics purposes.

8. Confidentiality

Both parties agree to maintain the confidentiality of proprietary information disclosed during the use of the Service. This includes:

  • Your Data and business information
  • Our technical information, pricing, and business practices
  • Any information marked as confidential

9. Service Availability

We strive to maintain high availability of the Service but do not guarantee uninterrupted access. We may temporarily suspend the Service for:

  • Scheduled maintenance (with advance notice when possible)
  • Emergency repairs or security updates
  • Circumstances beyond our reasonable control

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND
  • WE DISCLAIM ALL IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE
  • WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
  • OUR TOTAL LIABILITY IS LIMITED TO THE AMOUNT YOU PAID FOR THE SERVICE IN THE 12 MONTHS PRECEDING THE CLAIM

11. Indemnification

You agree to indemnify, defend, and hold harmless StaxxLogix and its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Any data you upload or process through the Service

12. Termination

Either party may terminate this agreement:

  • With 30 days' written notice for any reason
  • Immediately upon material breach by the other party

Upon termination, you may request export of Your Data within 30 days. After this period, we may delete Your Data in accordance with our data retention policies.

13. Governing Law

These Terms are governed by the laws of the State of Nevada, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Clark County, Nevada.

14. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes via email or through the Service. Continued use after changes take effect constitutes acceptance of the modified Terms.
